Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Sciometa restaurant management ecosystem, including our Point of Sale (POS) applications, Kitchen Display Systems (KDS), Back Office Systems (BOS), Server Display Systems (SDS), and web applications (collectively, the "Services") provided by Sciometa Oy ("Sciometa", "we", "our", or "us").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Acceptance of Terms

By creating an account, downloading our applications, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

These Terms constitute a legally binding agreement between you and Sciometa. We may update these Terms from time to time, and your continued use of the Services after such updates constitutes your acceptance of the new Terms.

2. Description of Services

Sciometa provides a comprehensive restaurant management ecosystem that includes:

  • Point of Sale (POS) Systems: Order processing, payment handling, and transaction management
  • Kitchen Display Systems (KDS): Order management and kitchen workflow optimization
  • Back Office Systems (BOS): Business management, analytics, and administrative tools
  • Server Display Systems (SDS): Customer-facing displays and order status information
  • Web Applications: Cloud-based management and configuration tools

Our Services are designed to help restaurants streamline operations, manage orders, process payments, and improve overall efficiency.

3. User Accounts and Registration

To use our Services, you must create an account and provide accurate, current, and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Promptly notifying us of any unauthorized use of your account
  • Ensuring your account information remains accurate and up-to-date

You must be at least 18 years old to create an account and use our Services. If you are creating an account on behalf of a business, you represent that you have the authority to bind that business to these Terms.

4. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You may not:

  • Use the Services for any illegal activities or to violate any applicable laws
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Services or servers connected to the Services
  • Upload, transmit, or distribute any malicious code, viruses, or harmful content
  • Use the Services to harass, abuse, or harm others
  • Reverse engineer, decompile, or attempt to extract source code from our applications
  • Resell, redistribute, or make commercial use of the Services without authorization

We reserve the right to suspend or terminate your access to the Services if you violate these terms.

5. Payment and Billing

Some of our Services require payment of fees. By using paid Services, you agree to:

  • Pay all applicable fees as described in your subscription plan
  • Provide accurate and current billing information
  • Authorize us to charge your chosen payment method
  • Pay all taxes associated with your use of the Services

Fees are generally charged in advance and are non-refundable except as required by law or as specifically stated in your subscription agreement.

We may change our pricing with 30 days' advance notice. If you do not agree to price changes, you may cancel your subscription before the changes take effect.

6. Data and Privacy

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You retain ownership of your business data that you input into our Services. However, you grant us a license to use, store, and process this data to provide the Services to you.

We implement appropriate security measures to protect your data, but you acknowledge that no system is completely secure and that you use the Services at your own risk.

7. Intellectual Property

The Services, including all software, content, and intellectual property rights, are owned by Sciometa or our licensors and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms. This license does not include the right to:

  • Copy, modify, or create derivative works of the Services
  • Reverse engineer or attempt to extract source code
  • Remove or alter any proprietary notices or labels
  • Use our trademarks or brand names without permission

8. Service Availability and Support

We strive to maintain high availability of our Services, but we do not guarantee uninterrupted access. The Services may be unavailable due to maintenance, updates, or circumstances beyond our control.

We provide customer support through various channels as described in our support documentation. Support availability may vary based on your subscription plan.

We reserve the right to modify, suspend, or discontinue any part of the Services with reasonable notice when possible.

9. Limitation of Liability

To the maximum extent permitted by law, Sciometa shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability to you for all claims arising from or relating to the Services shall not exceed the amount you paid to us for the Services in the 12 months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.

10. Termination

You may terminate your account at any time by following the cancellation process in your account settings or by contacting our support team.

We may terminate or suspend your access to the Services immediately if you violate these Terms or if we believe termination is necessary to protect our Services or other users.

Upon termination, your right to use the Services will cease, and we may delete your account and data in accordance with our Privacy Policy and data retention practices.

11. Governing Law and Disputes

These Terms are governed by the laws of Finland, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved in the courts of Helsinki, Finland.

Before pursuing legal action, we encourage you to contact us to resolve any disputes informally.

12. Changes to Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. We will notify you of material changes through the Services or by email.

Your continued use of the Services after we publish or send notice of changes constitutes your acceptance of the updated Terms.
